Reseller Policies

By purchasing HEALTHY VIBES services for resale, you agree to adhere to this Reseller Policy.

 

In order to ensure that HEALTHY VIBES authorized resellers ("Resellers") are able to maintain healthy margins and ensure that HEALTHY VIBES end users are being provided with a quality sales and customer support experience, HEALTHY VIBES has announced this Reseller Policy (the "Reseller Policy"). HEALTHY VIBES believes that its end customers are best served by having resellers who market HEALTHY VIBES Services as premium branded products and who provide an excellent level of service and support to their end customers.

 

HEALTHY VIBES adopts this Resale and Quality Policy (this "Policy") and requires each person, company or entity (as the case may be, a "Reseller") that purchases its services (the "Services") for resale or other distribution to agree to comply with this Policy. Accordingly, the terms of this Policy are incorporated into and in addition to any agreement entered into between HEALTHY VIBES and Reseller with respect to Reseller's purchase or sale of the Services.

 

  1. Sales to End Users.

Unless otherwise agreed with HEALTHY VIBES in writing, Reseller may only purchase the Services for resale to consumers and end customers and Reseller may not resell the Services to suppliers or for further distribution in any manner.

 

  1. Prohibition of Internet sales.

Reseller shall be prohibited from selling Tile products on the Internet unless it applies for, is approved by Tile, and executes an Authorized Internet Reseller Agreement or other similar agreement governing the manner in which it sells online.

 

  1. Sales restricted to the territory.

If the Reseller acquires the Services under an agreement that obligates the Reseller to resell the Services in a geographic territory, the Reseller shall comply with such obligation.

 

  1. Intellectual property.

Unauthorized use of intellectual property from our Services is prohibited. Resellers who comply with this Policy have a limited, non-exclusive, non-sublicensable, revocable license to use Tile's trademarks and copyrights in connection with the sale of the Products. Reseller shall not alter, modify or change any trademark or copyright, or use any trademark or copyright other than for the promotion and sale of the Services, or use any trademark or copyright in a manner that adversely affects such trademark or copyright. Failure to comply with the Policy will result in automatic revocation of the license granted herein and forfeiture of all rights granted herein. HEALTHY VIBES reserves the right to revoke this license at any time for any or no reason;

 

  1. Service Inspection.

HEALTHY VIBES will promptly inspect all Services upon completion and will promptly return, in accordance with the terms of sale, any Services that appear incomplete or unsatisfactory upon inspection.

 

  1. Sales practices.

Reseller will conduct its business in a reasonable and ethical manner at all times and will not engage in any deceptive or unethical advertising or practices at any time, nor make any warranties or representations with respect to the Services, except as expressly authorized by HEALTHY VIBES. Reseller shall comply with all applicable laws, rules, regulations and policies relating to the advertising, sale and marketing of the Services.

 

  1. Customer service level.

Reseller shall provide the highest levels of customer service. Reseller and Reseller's sales personnel shall be familiar with the special features of all HEALTHY VIBES Services marketed for sale and shall obtain sufficient product knowledge to advise customers on the selection and safe use of the Services, as well as any applicable warranty, guarantee or return policy.

 

  1. Customer service channels.

El Revendedor mantendrá las funciones de respuesta telefónica y de correo electrónico del servicio de atención al cliente, tal y como se exige en el Acuerdo Original, para gestionar las quejas de los clientes, las devoluciones y otras funciones de atención al cliente. A petición de HEALTHY VIBES, el Revendedor proporcionará cualquier informe u otra información solicitada por HEALTHY VIBES, con respecto a un Servicio en particular para determinar la fecha o la compra del Servicio por parte del Revendedor, la ubicación donde se adquirió el Servicio, y las fechas en las que el Servicio fue vendido o realizado por el Revendedor a un comprador.

 

  1. Consumer safety and cancellation of service.

Reseller will cooperate with HEALTHY VIBES in connection with any investigation of consumer safety claims or any assessment of cancellation of a Service. To ensure the safety and well-being of end users of the Services, Reseller agrees to cooperate with HEALTHY VIBES with respect to any Service cancellation or other consumer safety information dissemination efforts.

 

  1. Service Failure.

If any significant amount of Services purchased by Reseller fails, Reseller shall promptly report such event to HEALTHY VIBES.

 

  1. Report unauthorized resellers.

If Reseller has information, or reasonably suspects, that any person is purchasing and reselling or distributing the Services in a manner not authorized by HEALTHY VIBES, Reseller must immediately notify HEALTHY VIBES.

 

  1. Other information, documents and reports.

Reseller shall provide HEALTHY VIBES with any supplemental information, documents and reports that HEALTHY VIBES may request in order to validate Reseller's compliance with this Policy and to support HEALTHY VIBES' warranty support and customer support obligations and initiatives.

 

  1. Unilateral policy changes

HEALTHY VIBES sales personnel have no authority to modify or grant exceptions to this One-Sided Policy. All questions regarding the interpretation of this Policy should be directed to the Reseller Policy Committee at help@healthyvibes-store.com.

 

  1. Termination and liability due to policy violation

If HEALTHY VIBES determines that the Reseller is in violation of this Reseller Policy, it may take all appropriate legal action, including, but not limited to, refusing to accept orders from the Reseller or instructing its distributors to refuse to accept orders from the Reseller.

 

  1. Policy modification and changes

HEALTHY VIBES reserves the right to update, amend or modify this Reseller Policy at any time. Unless otherwise provided, such modifications shall be effective immediately and Reseller's continued use, advertising, offering for sale or sale of the Products shall be deemed to be Reseller's acceptance of the modifications.
